Terms of Business

Last updated: 2 July 2026

The website hubspotconsulting.co.uk is operated by ZED Group Ltd (company number 11131409) - a consulting firm trading under the name Zed Consulting (zedconsulting.co.uk).

These Terms of Business set out the basis on which ZED Group Ltd ("we", "us", "our") provides HubSpot CRM consulting, development and support services to our clients ("you"). By engaging our services you agree to these terms, which should be read alongside any proposal, statement of work or order we agree with you.

1. Our services

We provide HubSpot CRM consulting, implementation, migration, custom development, marketing automation and ongoing support. The specific services, deliverables and timelines for each engagement will be set out in a separate proposal or statement of work agreed between us.

Any services not expressly included in the agreed scope are outside the engagement and may be subject to a separate agreement and fee.

2. Fees and payment

Fees are as stated in your proposal or statement of work, whether on a fixed-price, retainer or time-and-materials basis. Unless stated otherwise, fees are exclusive of VAT and any third-party costs (such as HubSpot licence fees), which are payable by you.

Invoices are payable within the period stated on the invoice. We reserve the right to charge interest on overdue amounts and to suspend services where invoices remain unpaid.

3. Your responsibilities

To deliver our services effectively we rely on you to provide timely access to relevant systems, data, staff and decision-makers, and to give clear and accurate information. Delays or inaccuracies in what you provide may affect timelines and costs.

You are responsible for maintaining your own HubSpot subscriptions and for the accuracy and lawful use of the data held within your CRM.

4. Third-party platforms

Our services often involve HubSpot and other third-party platforms and integrations. We are an independent consultancy and are not responsible for the availability, performance, pricing or terms of those platforms, which are governed by the relevant provider's own terms.

5. Intellectual property

On full payment, any bespoke configurations or deliverables we create specifically for you become yours to use for your business. We retain ownership of our own pre-existing tools, methods, templates and know-how, and may reuse general skills and experience gained.

You retain ownership of your data and your own materials.

6. Confidentiality

Each party will keep the other's confidential information secure and use it only for the purposes of the engagement. This obligation continues after the engagement ends. We handle personal data in line with our Privacy Policy and applicable data protection law.

7. Liability

We will provide our services with reasonable care and skill. To the fullest extent permitted by law, our total liability arising out of or in connection with an engagement is limited to the fees paid for that engagement, and we are not liable for indirect or consequential losses, or loss of profit, revenue or data.

Nothing in these terms limits liability that cannot be limited by law.

8. Termination

Either party may terminate an engagement by giving written notice as set out in the relevant proposal or statement of work. On termination you will pay for all services performed and costs committed up to the termination date.

9. Governing law

These terms and any engagement are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
